When starting up a new or restructuring an existing business, it is often needed to make payment for an equity interest by non-cash assets. This means that a founder transfers his or her property, such as real estate, equipment, intellection property and interests (shares) in other companies in payment for the founder’s contribution to the charter capital. This situation obviously carries a potential conflict of interests: the founder is interested in obtaining the maximum price for the property to be transferred, while the company and the other founders are interested in the lowest price possible.

The balance of interests of all parties involved in this process is achieved through independent valuation of all non-cash contributions to the charter capital whether in a joint-stock or a limited liability company. The requirement to engage an independent appraiser for determining the value of the property contributed to the charter capital is stipulated by the law and is contained in Federal Laws of the Russian Federation “On Joint-Stock Companies” and “On Limited Liability Companies”.

The law requires that when any property is contributed to the charter capital, an independent appraiser must determine the market value for that property, that is, the most probable price at which the property would change hands on a public competitive market, with both parties acting prudently and possessing all necessary information and with no extraordinary circumstances affecting the transaction price.
